Mainland vs Free Zone: Choosing the Right Structure in Dubai

The mainland-vs-free-zone decision gets asked constantly, and the honest answer is that it depends on where your customers are, not on which option sounds more prestigious. A Mainland company (DED-licensed) can trade directly across the UAE and take on government contracts without a local distributor. A Free Zone company is typically restricted from trading directly in the mainland market without going through a distributor or setting up a branch — but it offers 100% foreign ownership as standard, simpler setup in many zones, and, for qualifying income, a 0% Corporate Tax rate.
Cost structures differ too. Free zones often bundle licence, office, and visa costs into predictable packages, which suits early-stage businesses that want to control cash flow. Mainland setup can be more flexible on office requirements but usually involves more moving parts — DED approvals, external approvals depending on activity, and potentially a local service agent for certain professional licences.
The tax angle matters more since Corporate Tax came into effect. A Free Zone entity only keeps the 0% rate on income that meets the 'Qualifying Income' definition, and it must maintain adequate substance in the zone. Businesses that assume Free Zone automatically means tax-free are often surprised at filing time — this is one of the most common misunderstandings we see.
There's no universal right answer. A consultancy selling services to mainland UAE clients usually needs mainland presence eventually. A trading or holding structure with no local UAE customers can often stay in a free zone indefinitely. The right call comes from mapping out where your actual customers and activities sit before the licence is issued — reversing a structure later costs far more than getting it right at formation.
